Terms of Service

1. Acceptance of Terms
By accessing or using Tripsyc (the “Service”) — including the website at tripsyc.com, the iOS application, or any related service — you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms apply to all visitors, users, and others who access the Service. By creating an account, signing in, or continuing to use the Service after any changes are posted, you accept the then-current Terms in full.
The Service is operated by Tripsyc (“we,” “us,” or “our”). Questions may be directed to hello@tripsyc.com.
2. Description of Service
Tripsyc is a collaborative group trip planning platform. It provides tools for groups to coordinate travel dates, vote on destinations, anonymously aggregate budgets, split expenses, communicate via group chat, build itineraries, share photos, manage packing lists, and perform related planning activities.
Tripsyc does not book travel, process payments, hold funds, guarantee travel outcomes, or act as a travel agent. Any decisions made within the Service — including locked dates, chosen destinations, or expense records — are planning tools only. We are not responsible for any real-world bookings, financial commitments, or consequences arising from use of the Service.
The Service is provided free of charge. We reserve the right to modify, limit, or discontinue any feature or the entire Service at any time without notice.
3. User Accounts
You must provide a valid email address to use the Service. You are responsible for maintaining the security of your account and all activity that occurs under it. You must notify us immediately of any unauthorized use of your account.
You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement. If you are between 13 and 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
We reserve the right to suspend or terminate your account at any time, for any reason, including violation of these Terms, without prior notice or liability.
4. User Content
You retain ownership of any content you submit to the Service, including trip names, messages, photos, notes, destination suggestions, and other materials (“User Content”).
By submitting User Content, you grant Tripsyc a worldwide, non-exclusive, royalty-free, sublicensable license to store, display, transmit, and process that content solely for the purpose of operating and providing the Service to you and your trip group members.
You are solely responsible for your User Content. We do not monitor, verify, endorse, or assume any liability for User Content. You represent and warrant that: (a) you have all rights necessary to grant the above license; (b) your content does not violate any law or infringe any third-party rights; and (c) your content is not harmful, offensive, or illegal.
We reserve the right to remove any User Content at our sole discretion, without notice.
Feedback. If you submit ideas, suggestions, or feedback about the Service (“Feedback”), you grant Tripsyc a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, including to improve or develop new features, without any compensation or attribution to you.
Section 230. Tripsyc is a platform and not the author or publisher of User Content posted by users. To the fullest extent permitted by law, Tripsyc expressly reserves all immunities and protections available under Section 230 of the Communications Decency Act and equivalent laws. We do not waive any such immunity by moderating, removing, or declining to remove any content.
5. Acceptable Use
You agree not to use the Service to:
- Upload, post, or transmit any content that is illegal, harmful, threatening, harassing, defamatory, obscene, or otherwise objectionable
- Violate any applicable local, national, or international law or regulation
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity
- Collect or harvest any data from the Service without our written permission, including scraping, crawling, or automated access
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Send unsolicited communications (spam) through the Service
- Use the Service for any commercial purpose without our written consent
- Circumvent any content-filtering techniques or access controls
Violation of these rules may result in immediate termination of your account and, where appropriate, referral to law enforcement.
6. Intellectual Property
The Service and its original content (excluding User Content), features, functionality, design, and underlying technology are and will remain the exclusive property of Tripsyc and its licensors. Our name, logo, and marks may not be used without our prior written consent.
If you believe any content on the Service infringes your copyright, please contact us at hello@tripsyc.com with a description of the work, its location on the Service, your contact information, and a statement of good faith belief. We will respond to valid notices as required by the Digital Millennium Copyright Act (DMCA).
7. Service Availability
We make no guarantees regarding the availability, uptime, reliability, or continuity of the Service. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control.
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) permanently or temporarily at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
No Data Backup Guarantee. You acknowledge that Tripsyc may delete, lose, or fail to store your data or User Content. You are solely responsible for maintaining your own copies of any data you submit. Tripsyc is not responsible for any loss of data.
8. Disclaimers of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRIPSYC OR ITS OPERATORS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE US DOLLAR ($1.00). BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE, THIS EFFECTIVELY LIMITS OUR LIABILITY TO ZERO.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to defend, indemnify, and hold harmless Tripsyc and its operators, affiliates, licensors, and service providers, and their respective officers, directors, agents, and employees, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, your use of any Service feature, or your violation of any third-party rights.
11. Dispute Resolution
Informal Resolution. Before filing any formal legal claim, you agree to first contact us at hello@tripsyc.com and give us 30 days to attempt to resolve the dispute informally.
Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, not in court, except that either party may bring an individual claim in small claims court if eligible. The arbitration shall be conducted under the rules of the American Arbitration Association (AAA) in effect at the time.
Class Action Waiver. YOU AND TRIPSYC EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
Arbitration Opt-Out. You may opt out of binding arbitration within 30 days of first accepting these Terms by emailing hello@tripsyc.com with the subject “Arbitration Opt-Out.” If you opt out, disputes will be resolved in the courts of Delaware.
Governing Law. These Terms and any disputes arising hereunder are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. To the extent any claim must be heard in court, you consent to the exclusive jurisdiction of courts located in Delaware.
12. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately.
You may stop using the Service at any time. To request deletion of your account and associated data, contact us at hello@tripsyc.com.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
14. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tripsyc regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment. You may not assign your rights under these Terms without our prior written consent. Tripsyc may assign or transfer its rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
Force Majeure. Tripsyc shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, government action, internet outages, or failure of third-party services.
